1. General Provisions

1.1 The following General Terms and Conditions (GTC) govern the legal relationship between MD Studios, Dennis Langthaler, Am Burgerfeld 16, 91567 Herrieden (hereinafter referred to as “MD Studios”) and consumers who use the services of MD Studios or purchase goods from MD Studios (hereinafter referred to as “Customers”). The GTC apply to all online and offline services and goods provided by MD Studios, as well as to the use of the website https://www.mdstudios-world.com and all subdomains associated with this domain (hereinafter referred to as the "Website").

1.2 Customers are those who use the services offered by MD Studios via the Website, the online shop, or online through the registration form. Customers are also those who purchase goods online via the Website of MD Studios or offline. All such Customers are simultaneously obligated to make payments and are therefore invoice recipients.

1.3 By booking a service, subscribing to a membership, or purchasing goods, Customers agree to these GTC.

1.4 These GTC apply exclusively.

1.5 Deviating GTC of the Customer shall not become part of the contract unless MD Studios explicitly agrees to them.

2. Conclusion of Contract

2.1 The offers in the online shop represent a non-binding invitation from MD Studios to the online shop visitors (Customers) to submit an offer to purchase the goods and services offered in the shop.

2.2 The order of goods or the booking of services is carried out via the website of MD Studios. After selecting the desired goods or service, entering all required information, and completing all other mandatory steps in the ordering process, such as providing delivery details and selecting a payment method, the selected goods or services can be ordered or booked by clicking the “Order with Payment Obligation” button at the end of the checkout page.
By placing an order or booking a service, Customers submit a binding contractual offer to purchase the selected goods or services. The contract is concluded when MD Studios accepts the Customer's offer. The acceptance occurs when MD Studios confirms the conclusion of the contract in written or text form (e.g., by email) and the order confirmation is received by the Customer, or when MD Studios delivers the ordered goods and they are received by the Customer, or when MD Studios requests payment from the Customer (e.g., by invoice or credit card payment in the ordering process) and the payment request is received by the Customer.

2.3 Before submitting a binding order or booking a service via the website of MD Studios, Customers can review their entries and correct them at any time using the usual keyboard, mouse, touch, or other input methods available. In addition, all entries are displayed once again in a confirmation window before the binding order or booking is placed and can also be corrected there using the usual input methods.

2.4 MD Studios will store the contract text after the conclusion of the contract and send it to the Customer in text form (e.g., by email). Further access to the contract text by MD Studios is not provided. When using a customer account on the website, orders and bookings, as well as the associated data, can be viewed in the account.

3. Right of Withdrawal

3.1 Customers who enter into a legal transaction for purposes that are predominantly neither attributable to their commercial nor their independent professional activity generally have a statutory right of withdrawal for contracts concluded outside business premises and for distance contracts.
The right of withdrawal applies to all orders of services and goods, regardless of the ordering method (online or offline).

4. Online Courses and Choreographies

4.1 MD Studios offers its services in the field of Dance & Performance also in the form of online courses and online sales of choreographies. These services are provided through the MD Studios website or other digital platforms.

4.2 The online courses and choreographies are delivered as digital content. Customers receive access to this digital content after purchase, either through direct download or streaming.

4.3 By purchasing the online courses and choreographies, customers acquire a simple, non-transferable right of use to the digital content. This right of use entitles customers exclusively to personal and non-commercial use of the purchased content.

4.4 Customers are not permitted to reproduce, distribute, make publicly accessible, sell, rent, or otherwise make the digital content available to third parties unless MD Studios has expressly agreed to this in writing.

4.5 MD Studios may change the content of the online courses and choreographies as well as the technical access requirements at any time. Significant changes will be communicated to customers in a timely manner.

4.6 Customers are required to keep the access data to the online courses and choreographies secure and not to share them with third parties. MD Studios is not liable for damages resulting from unauthorized use of the access data by third parties.

4.7 The digital content is created and provided with the utmost care. However, MD Studios does not guarantee the accuracy, completeness, or timeliness of the content, nor the suitability of the content for the individual needs of the customers.

4.8 In the event of technical issues that impair access to the digital content, MD Studios will strive to resolve these issues as quickly as possible. Customers are not entitled to compensation or a reduction in the purchase price due to temporary technical disruptions.

4.9 MD Studios is liable for defects in the digital content in accordance with statutory provisions. Customers' claims for damages are excluded unless MD Studios acts intentionally or with gross negligence, or if it concerns the violation of essential contractual obligations.

5. Booking a Service

5.1 Booking a service from MD Studios (subscriptions, workshops, intensives, photo shoots, coaching sessions, and other events) must be made through the MD Studios website or via an online form provided by MD Studios. Once completed and confirmed by the customer, the booking is binding.

5.2 Most of the services offered by MD Studios are limited by a specific number of participants. When customers book a service from MD Studios, their spot is reserved until payment is received. The final allocation of spots is made after payment is confirmed. If all spots are taken, customers can be placed on a waiting list.

5.3 Booked services are offered either in-person and/or online. Customers can find the relevant information about this on the MD Studios website.

6. Duration of Services

6.1 The duration of the services offered by MD Studios varies depending on the type of service. A regular dance and performance class typically lasts 60 minutes. Workshops and intensives generally last between 90 and 120 minutes. The duration of each service is clearly indicated on the MD Studios website for customers.

6.2 MD Studios reserves the right to adjust the duration of the offered services as necessary, depending on circumstances and situations. Customers will be informed transparently and in a timely manner (through the online shop or other communication channels such as email or social media).

7. Price Adjustments

7.1 MD Studios reserves the right to adjust the prices of the offered services and products in accordance with the following provisions.

7.2 Price adjustments may be made, in particular, due to changes in cost structures, such as increases in production, procurement, or distribution costs, as well as due to changes in legal regulations, such as new or amended tax laws and levies.

7.3 MD Studios will inform customers of upcoming price adjustments at least four weeks before they take effect, in text form (e.g., via email). In this notification, MD Studios will outline the reasons for the price adjustment and explain the scope of the adjustment.

7.4 In the event of a price increase, customers have the right to terminate the contract without notice at the time the price adjustment takes effect. MD Studios will inform customers about this right of termination in the price adjustment notification. If customers do not exercise this right, the price adjustment will be deemed accepted.

7.5 The provisions on price adjustments apply accordingly to all types of contracts, including subscription agreements, one-time services, and ongoing deliveries.

8. Payment and Default

8.1 The applicable prices for the services, products, and subscriptions offered by MD Studios are specified in the descriptions on the website, social media channels, in offers, or through the online registration form. By booking a service, purchasing a product, or subscribing to a plan, the customer incurs a payment obligation for the full amount of the service, product, or subscription.

8.2 The prices valid at the time of the order, booking, or offer on the website apply. All prices include the statutory value-added tax and, if applicable, additional shipping costs. The available payment methods are directly specified on the MD Studios website.

8.3 Customers must pay the amount for the booked service or purchased product to MD Studios immediately after booking or purchase. If payment is not received on time, the reserved spot for the booked service will be reassigned to another person. Additionally, MD Studios reserves the right not to ship the purchased product if payment is not received in time.

8.4 Fees for monthly subscriptions are collected through a SEPA direct debit. Payment processing is handled by the payment service providers SepaHeld and GoCardless. Customers will receive an email requesting them to enter their payment information. Customers are obligated to ensure sufficient funds are available at the time of the debit. In the event of chargebacks attributable to the customer, the incurred fees will be fully charged with the next direct debit.

8.5 In case of payment default, MD Studios is entitled to charge default interest at a rate of 5 percentage points above the applicable base interest rate. Additionally, after an unsuccessful reminder, MD Studios may charge reminder fees of €5.00 per reminder. MD Studios reserves the right to suspend further services until full payment of the outstanding amount is made.

8.6 MD Studios charges a one-time registration fee of €25.00 when a subscription is concluded. This registration fee will be included in the first invoice sent to the customer.

8.7 Customers must pay the due amounts according to the available payment methods. The following payment methods are offered:

  • Advance Payment: If “Advance Payment” is agreed upon, the purchase price is due immediately after the contract is concluded.

  • PayPal: If payment via “PayPal” is agreed upon, the purchase price is due immediately after the contract is concluded. Payment processing is handled by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg.

  • Credit Card (VISA, MASTERCARD, AMERICAN EXPRESS): If payment by credit or debit card is agreed upon, the purchase price is due immediately after the contract is concluded.

  • Purchase on Account: If “Purchase on Account” is agreed upon, payment is due immediately after the contract is concluded unless another payment term is specified on the invoice or during the purchase process.

  • SEPA Direct Debit: If SEPA Direct Debit is chosen, the amount will be debited within the specified period according to the pre-notification. Customers will be informed in advance about the debit. Payment processing is handled by the service providers SepaHeld and GoCardless.

  • Sofortüberweisung: If “Sofortüberweisung” is agreed upon, the purchase price is due immediately after the contract is concluded. Payment processing is handled by Sofort GmbH, Theresienhöhe 12, 80339 Munich.

  • Giropay: If Giropay is agreed upon, the purchase price is due immediately after the contract is concluded. Payment processing is handled by paydirect GmbH, Stephanstr. 14-16, 60313 Frankfurt am Main.

9. Participation in Services and Classes / Subscription Agreement / Summer and Winter Breaks

9.1 After booking a service, customers are entitled to participate in the services they have booked for the corresponding duration.

9.2 After completing a subscription, customers are entitled to participate in a regularly scheduled class by MD Studios. The class the customers attend is decided by MD Studios in consultation with the customers. The number of classes customers can attend is determined by the subscription they have booked. All relevant information is available on the website or in the online registration form.

9.3 Subscriptions have a term of one (1) month and will automatically renew for another (1) month unless the customer provides cancellation notice to MD Studios.

9.4 MD Studios reserves the right to change the duration and timing of a service or class as needed. Customers will be informed in a timely and transparent manner if such changes occur.

9.5 The booking/ subscription and, therefore, the entitlement to participate in a service/class is non-transferable to third parties.

9.6 By subscribing, customers are entitled to participate in at least four (4) 60-minute classes per calendar month (Basic subscription). If a class does not take place as planned, it will be rescheduled. If an instructor is unable to hold the class, a substitute instructor will be provided to ensure the class takes place. In the rare event that neither of these options is possible, the customer will be credited for the missed class on the next invoice.

9.7 MD Studios observes a summer break of 4 weeks (annually in the entire month of August) and a winter break of 2 weeks (annually during the official school Christmas holidays in Bavaria). No classes will take place during these periods. Customers are not entitled to attend classes during this time. Monthly subscription fees must continue to be paid as usual.

10. Cancellation / Non-participation / Withdrawal

10.1 Customers who are unable to participate in a booked service due to important reasons (e.g. illness) must inform MD Studios in advance (at least 7 days before the service begins) via email. This applies only to one-time services and not to completed subscriptions.

10.2 The total amount paid for a service (such as a workshop, intensive, or pop-up class) will be fully refunded if the customer notifies MD Studios at least 7 days before the service begins.

10.3 If the notification of non-participation is made between 6 days and up to the day before the booked service, cancellation cannot be made, and the total amount will not be refunded.

11. Termination of a Subscription

11.1 Completed subscriptions can be terminated by the customers with a notice period of 4 weeks to the end of the next month, at any time.

11.2 The termination must be made by the customer in writing or in electronic form (via email) to MD Studios.

11.3 The termination document must clearly show the customer's signature. In the case of an electronic termination, a digital signature is sufficient and will be accepted. The termination is only valid and can be confirmed by MD Studios once this is done.

11.4 Customers who have terminated their subscription with MD Studios may continue to attend their assigned classes until the end of the subscription period

12. Delivery and Reservation of Self-Supply in Case of Purchase of Goods / Retention of Title

12.1 Unless otherwise agreed, delivery will be made within the delivery time specified on the website to the delivery address provided by the customer. The applicable delivery times can be found on the website.

12.2 Self-pickup of purchased goods is excluded.

12.3 If MD Studios is unable to deliver the ordered goods because they were not supplied by their own supplier, despite having made a timely agreement with a reliable supplier for a corresponding transaction, MD Studios will be released from its obligation to perform and may withdraw from the contract. MD Studios is obligated to inform the customer immediately about the impossibility of fulfilling the contract. Any counter-performance already made by the customer will be refunded without delay. Mandatory consumer rights remain unaffected by this paragraph.

12.4 The purchased goods remain the property of MD Studios until the full payment of the purchase price has been made.

13. Warranty for Purchase of Goods

The statutory provisions on warranty for defects apply.

14. Requirements for Physical Health for Booked Services / Subscriptions

14.1 The requirement for participation in services from MD Studios, where customers need to engage in physical activity, such as dance and performance classes, dance and performance workshops, MD Intensives, or other similar physical services, is that customers must be in good physical health when starting these services.

14.2 By attending a class and participating in a booked service, MD Studios assumes that there are no health impairments or illnesses that could affect the execution of the booked service. If there is an acute health condition that affects participation in the service, MD Studios must be immediately informed.

15. Publication on the Internet for Participation in Booked Services / Classes

15.1 MD Studios creates content (videos, images) during each ongoing service, which is subsequently published on the MD Studios website and social media channels.

15.2 By agreeing to these terms and conditions, customers agree to be published in the form of videos and images on the MD Studios social media channels and website.

15.3 Additionally, customers agree to be published on the social media profiles of other customers, as MD Studios allows customers to create their own content during the service.

15.4 It is also possible for MD Studios to share the created content with the customers, so they can publish it on their own social media profiles. MD Studios will inform customers separately about this via the website, social media channels, or email.

15.5 Customers have the right to revoke their consent at any time by notifying MD Studios in writing or via email. After receiving the revocation, MD Studios will no longer publish any further content involving the customers and will remove any previously published content.

16. Artistic Content and Credits

16.1 As a rule, MD Studios provides customers with content (after completing a service) in the form of videos and images that they can publish on their personal social media channels.

16.2 Many different artists are usually involved in the services offered by MD Studios, such as choreographers, videographers, photographers, makeup artists, musicians, and many others. MD Studios places great importance on ensuring that all parties involved receive appropriate mentions and credits for their artistic contributions on the internet. Therefore, MD Studios will provide customers with specific instructions on how to credit the respective individuals if the customers choose to publish the created content on their social media profiles.

17. Data Protection

MD Studios treats the personal data of its customers confidentially and in accordance with the applicable data protection laws. For further details, please refer to the privacy policy of MD Studios.

18. Liability and Disclaimer for Booked Services and Purchased Goods

18.1 The customers confirm that participation in a booked service by MD Studios is voluntary and at their own risk.

18.2 The customers expressly waive any claims of any kind for damages, injuries, or consequential damages that may arise in connection with participation in a booked service or class by MD Studios, unless MD Studios acts intentionally or with gross negligence.

18.3 MD Studios excludes liability for property damage unless the damage was caused by intentional acts or gross negligence by MD Studios.

18.4 MD Studios assumes no liability for health risks, including those that are not currently known to the customer, in the event of an accident or damage during participation in a booked service, unless the accident or damage is due to intentional acts or gross negligence by MD Studios.

18.5 Any illness or sudden changes in condition such as nausea, dizziness, pain, palpitations, or similar during participation in a booked service or class must be reported immediately to MD Studios, and the service may need to be discontinued. In such a case, a refund of the paid amount is excluded.

18.6 If customers are not insured against accidents and injuries that may occur during a booked service or class by MD Studios, they participate at their own responsibility. The same applies to the direct route to and from the venue of the booked service or class.

18.7 MD Studios is not liable for the loss of clothing or valuables brought to booked services or classes. It is pointed out that the changing rooms/wardrobe cannot be locked. The liability lies with the customers unless the loss was caused by intentional acts or gross negligence by MD Studios.

18.8 MD Studios is fully liable:

  • For damages arising from the injury to life, body, or health caused by an intentional or negligent breach of duty by MD Studios or an intentional or negligent breach of duty by a legal representative or vicarious agent of MD Studios;

  • For damages caused by an intentional or grossly negligent breach of duty by MD Studios or an intentional or grossly negligent breach of duty by a legal representative or vicarious agent of MD Studios;

  • Due to a guarantee promise, unless otherwise agreed;

  • Due to mandatory liability (e.g., under the Product Liability Act).

 

18.9 If MD Studios negligently breaches an essential contractual obligation, its liability is limited to the typical and foreseeable damage, unless unlimited liability is provided for in the previous paragraph. Essential contractual obligations are duties imposed on MD Studios by the contract to achieve the purpose of the contract, the fulfillment of which enables the proper execution of the contract, and on which the customer can generally rely.

18.10 Otherwise, liability of MD Studios, as well as the liability of its vicarious agents and legal representatives, is excluded.

19. Changes to the Terms and Conditions

19.1 MD Studios reserves the right to change these Terms and Conditions (AGB) at any time.

19.2 Any changes to the AGB will be communicated to the customers in text form (e.g., by email or letter) at least four weeks before they take effect.

19.3 The amended AGB will be considered accepted if the customers do not object to the changes within four weeks after receiving the notice. Customers will be specifically informed of this consequence in the notice of change.

19.4 If the customers do not agree with the changes, they have the right to object to the changes and terminate the contract extraordinary. The termination must occur within the objection period. Customers will also be specifically informed of this right in the notice of change.

19.5 If the customers do not object to the changes within the specified period, the amended AGB will be deemed accepted by them.

20. Applicability of the Terms and Conditions at Different Locations

20.1 MD Studios operates several locations where services and courses are offered. These General Terms and Conditions apply uniformly to all locations, regardless of which location the customer uses for a service or course.

20.2 When booking a service or subscription for a specific location, there is no entitlement to the same availability of services at other locations. Changes to course times, premises, or cancellations at a specific location do not entitle the customer to a refund or compensation, provided that an equivalent alternative is offered at another location or through alternative scheduling options.

20.3 In the event of legal differences in the respective countries in which MD Studios operates, the applicable law at the location will apply, insofar as there are mandatory provisions. Other contractual matters are governed by the law of the Federal Republic of Germany.

21. Final Provisions

21.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods, provided that this choice of law does not deprive a consumer with their habitual residence in the EU of mandatory legal provisions of the law of their country of residence.

21.2 If the customer is a merchant, a legal entity under public law, or a public-law special asset, the court at the seat of MD Studios shall have jurisdiction, unless an exclusive jurisdiction for the dispute has been established. This also applies if the customer has no residence within the European Union. The location of our company can be found in the heading of these Terms and Conditions.

21.3 If any provision of this contract is or becomes invalid or unenforceable, the remaining provisions of this contract shall remain unaffected.

22. Information on Online Dispute Resolution / Consumer Mediation

22.2 MD Studios is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
